Terms of Service

1. Agreement to Terms

By engaging Manual J USA ("Company," "we," "us," "our") for load calculation services, you ("Client," "you," "your") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Services Provided

Manual J USA provides load calculation services including:

• Manual J Reports (residential heating and cooling load calculations)
• Manual D Reports (residential duct design)
• Manual S Reports (residential equipment selection)
• Design consulting and technical support related to the above

All reports and deliverables are provided in digital format unless otherwise agreed in writing.

3. Scope and Limitations

Informational Purpose: All reports are prepared for informational and design planning purposes. The client is solely responsible for validating the accuracy of all input data (building dimensions, construction type, occupancy, local codes, etc.) provided to Manual J USA.

Professional Responsibility: While we provide accurate calculations based on industry-standard methodology, final design, equipment selection, and installation decisions remain the sole responsibility of the licensed contractor, design professional, or system installer. Our reports are one component of a larger project scope.

Code Compliance: We prepare reports in accordance with current IRC and ASHRAE standards applicable at the time of preparation. Local jurisdictions may have additional or modified requirements. It is the contractor's responsibility to verify code compliance and meet all local inspector requirements.

4. Turnaround Times

We offer two service levels:

• 5-Day Standard: Typical turnaround is 5 business days from receipt of complete project documentation.
• 48-Hour Rush: Expedited service with typical turnaround of 48 business hours.

Important: These are target timelines and estimates only, not guaranteed delivery dates. Actual turnaround may vary depending on project complexity, data completeness, and the Company's workload. The Company will notify you immediately if delays are anticipated.

5. Project Requirements

To proceed with your project, we require:

• Complete and accurate building plans or detailed site survey
• Accurate square footage and room-by-room layout information
• Construction details (insulation values, window types, orientation, etc.)
• Local building code and climate zone information
• Any special design considerations or requirements

Incomplete or inaccurate information may result in project delays and may require additional fees for revisions.

6. Payment Terms

Pricing: Pricing is based on the pricing schedule provided at the time of quote request.

Payment: Payment is due upon invoice. Accepted payment methods will be specified in your invoice.

Deposits: For rush orders or large projects, a deposit may be required before work begins.

Revisions: Unlimited revisions are included as part of the standard service. Major scope changes or significant redesigns may incur additional fees at the Company's discretion.

7. Intellectual Property

All reports, calculations, and deliverables created by Manual J USA are the property of the Company. The client is granted a limited, non-exclusive license to use these reports for the specific project for which they were prepared. Clients may not reproduce, distribute, or resell our reports without express written permission.

8. Disclaimer of Warranties

Manual J USA provides services on an "as-is" basis. The Company makes no warranties, express or implied, regarding the accuracy, completeness, or fitness of reports for any particular purpose. While we use reasonable professional standards, we cannot guarantee zero errors or account for all site-specific variables.

9. Limitation of Liability

In no event shall Manual J USA, its owners, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost business opportunity, even if advised of the possibility of such damages.

The total liability of Manual J USA for any claim arising from these terms shall not exceed the amount paid by the client for the specific service in question.

This limitation applies whether the claim arises in contract, tort, negligence, strict liability, or any other legal theory.

10. Indemnification

The client agrees to indemnify, defend, and hold harmless Manual J USA from any claims, damages, liabilities, or expenses (including attorney fees) arising from the client's use of our reports, including but not limited to claims related to installation errors, equipment failure, or non-compliance with local codes.

11. Termination

Either party may terminate a project with written notice. If terminated by the client before work is complete, payment is due for work performed to date plus any non-recoverable costs incurred.

12. Governing Law

These Terms of Service are governed by the laws of the State of Idaho, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Ada County, Idaho.

14. Changes to Terms

Manual J USA reserves the right to update these Terms of Service at any time. Changes become effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the updated terms.
